Policy Statement

IntelliSoft Services DMCC (IntelliSoft) is committed to implement and continually improve effective Anti-Bribery Management System (ABMS), in its SAP Professional services, Technology services, Infra services & solutions, Staffing, Recruitment and Outsourcing services in IT, while taking a ZERO TOLERANCE approach to prevent, detect, report and eliminate bribery and corruption.

At IntelliSoft, all of us reject corruption in all forms – direct, indirect, public or private and do not directly or indirectly engage in bribery, kickbacks, payoffs, or any other corrupt business practices. IntelliSoft honors and complies by all applicable laws & regulations, and the relevant international best practices, relevant to countering bribery and corruption in all the jurisdictions where we operate.

Who all are Covered by the Policy

This Policy applies to all stakeholders working at all levels within and/or with IntelliSoft, including Directors and employees, outsource processes, suppliers and service providers. IntelliSoft has assigned and authorized an independent Anti-Bribery | Anti-Corruption (AB|AC) Officer for ensuring that Anti-Bribery Management System conforms to the applicable requirements.

Gifts/Hospitality and Charitable Contrarotations

This policy totally prohibits the offering/provision and/or acceptance of every kind of gifts, hospitality, donations and other benefits that can be perceived by a third party. IntelliSoft does not make, and will not accept, facilitation payments or "kickbacks" of any kind. And does not make contributions to political parties. Any charitable donations other than legal and ethical under local laws and practices is not made.

Raising Concerns

All individuals are encouraged and expected to raise concerns, in the good faith, about any issue or suspicion of malpractice, related to bribery and corruption, at the earliest possible stage, to top management, respective immediate reporting functions and/or to Anti-Bribery | Anti-Corruption (AB|AC) Officer without the fear of retaliation for which following reporting channels have been established:

Employee Responsibilities

A breach and non-adherence of this policy by any individual, working for IntelliSoft, is dealt with immediate action, resulting in, immediate dismissal, penal consequences & impositions of penalties/fines (under law) and termination of business relationship, as applicable.

Training and Communication

IntelliSoft will provide training on this policy as part of the induction process for all new employees. Employees will also receive regular relevant training and will be asked annually to formally accept that they will comply with this policy.

IntelliSoft’s anti-bribery and corruption policy and zero-tolerance attitude will be clearly communicated to all suppliers, contractors, business partners, and any third-parties at the outset of business relations, and as appropriate thereafter IntelliSoft makes this policy publicly available, as documented information, in generally comprehensible language(s), aiming at increasing awareness, and to all individuals as per Bribery Risk Level.

Whistle-blowing Policy

Introduction

IntelliSoft Services DMCC has always had an open-door policy for all its employees and stakeholders to discuss all matters pertaining to its policies and operations. This Policy is designed to encourage all employees, contractors, suppliers, and other stakeholders of IntelliSoft to report any suspected or actual acts of bribery, corruption, or unethical behaviour within the organization or related to its operations.

Purpose

The purpose of this policy is to create a secure and confidential mechanism for individuals to report concerns related to bribery or corruption. The Policy ensures that all reports of bribery or corruption are investigated thoroughly and impartially. It is also meant to protect whistleblowers from retaliation for making reports in good faith.

Reporting Mechanism

Employees, contractors, suppliers, and other stakeholders are encouraged to report any suspicions or incidents of bribery or corruption at the earliest possible stage, to top management, respective immediate reporting function and/or to the IntlliSoft AB|AC Officer without the fear of retaliation, for which following reporting channels have been established:

Confidentiality and Protection of Whistleblowers

IntelliSoft will treat all reports of bribery or corruption with the utmost confidentiality as permitted by the law. To the extent possible, IntelliSoft will protect the identity of whistleblowers who choose to remain anonymous.

IntelliSoft is committed to protecting whistleblowers from any form of retaliation, and any employee who believes they have suffered retaliation because of reporting a concern should immediately report it to their supervisor or the AB|AC Officer. Any employee or stakeholder found to have engaged in retaliation will be subject to disciplinary action, up to and including termination of employment or contractual relationship.

Investigation

All reports of bribery or corruption will be promptly and thoroughly investigated by the IntelliSoft’s designated investigation team. The investigation will be conducted impartially and objectively, and all parties involved will be treated fairly.

False Reports

Individuals who knowingly make false or malicious reports of bribery or corruption will be subject to disciplinary action, up to and including termination of employment or contractual relationship

Compliance

All employees, contractors, suppliers, and stakeholders are expected to comply with this policy and report any concerns of bribery or corruption promptly.

Review and Revision

This policy will be reviewed periodically to ensure its effectiveness and compliance with relevant laws and regulations.
